STUDENT MEMBERSHIP TERMS AND CONDITIONS
This page (together with the documents referred to on it) tells you the terms and conditions on which we, Liverpool Law Society ("We", "Us", "Our"), enable you ("You", "Your") to apply for and benefit from Our student membership ("Membership"). Please read these terms and conditions carefully before applying for Membership. You should understand that in applying for Membership, You agree to be bound by these terms and conditions.
You should print a copy of these terms and conditions for future reference.
Please understand that if You refuse to accept these terms and conditions, You will not be able to become a student member.
When You use Our Website, www.liverpoollawsociety.org.uk ("Our Site"), You agree to be bound by Our General Terms and Conditions irrespective of whether or not You register or take out a Membership with Us. In addition, certain services which You may benefit from as a student member may be subject to their own terms and conditions (such as Our Event Booking Terms and Conditions in respect of attendance at courses and networking events) and You will be expected to comply with such terms and conditions.
Information about Us
We are a company limited by guarantee registered in England and Wales under company number 4302 and with Our registered office at 2nd Floor, The Cotton Exchange, Edmund Street, Liverpool L3 9LQ. Our VAT number is 164980337. www.liverpoollawsociety.org.uk is a site operated by Liverpool Law Society.
Your status
By applying for Membership, You warrant that:
- You are legally capable of entering into binding contracts;
- You are at least 18 years old; and
- You are an undergraduate or graduate based in the United Kingdom who is studying for a degree or has graduated from University/a Higher Education Institution or is a current student and is seeking employment within the legal profession in the United Kingdom.
Benefits of Membership
As a student member, You will receive the following benefits:
- access to the members only sign-in area of Our Site;
- having your details displayed on our Database which is accessed by law firms and other organisations offering training contracts and providing them with an accessible means of contacting You;
- a regular newsletter on recent updates in the law, forthcoming student networking events and the latest information on training contract vacancies;
- a monthly PDF bulletin for You to download in the members only sign-in area of Our Site; and
- regular updates on available networking events.
These benefits are correct at the time of publication of these terms and conditions, however, they are subject to change from time to time.
Registration
Registration as a student member is via Our Site. You will be required to submit the following information:
- Your full name;
- Term time and home addresses;
- Your current educational status (eg first year, University);
- Name of University;
- Contact telephone numbers; and
- Confirmation of good character: i.e. whether You have ever been convicted of an offence in any court or received a caution, reprimand or warning in the UK or elsewhere (other than for minor motoring offences), whether You have ever been made bankrupt etc.
In addition, the following information is also required if you wish to register on the training contracts database:
- Your qualifications;
- Your current employment status (eg part-time paralegal);
- hobbies; and
- any other relevant information (such as Your other studies and future plans).
In response to Your application, an e-mail is sent to the e-mail address given containing a secure link requesting further details and payment. Once these details are provided, payment is processed and the terms and conditions accepted, Membership will be granted and access given to membership sections of Our Site.
The Membership is intended for use in the United Kingdom only. By requesting a Membership, You are confirming that You are resident in the United Kingdom.
Each Membership is for a single member only. We do not permit You to share Your user name and password with any other person nor with multiple users on a network.
Responsibility for the security of any passwords issued rests with You.
Student Member Database
We maintain an online database of Our student members who are seeking training contracts so that their details can be viewed by law firms and other organisations seeking to recruit ("Database"). We do not recommend or endorse the individuals or organisations listed in the Database; this is provided in good faith for information purposes only. We recommend that users verify the accuracy of any information contained in the Database before relying upon it. Should You notice any information which You believe to be inaccurate, false or misleading in the Database, please contact Us and We will endeavour to investigate this. The information contained within the Database is provided to Us by student members and We can not accept any responsibility for its accuracy and completeness.
Organisations who wish to make contact with student members are able to post messages on the Database for the attention of particular individuals. These messages cannot be viewed by other student members. We receive a notification whenever a student member is contacted.
Your contributions to the Database
Other than personally identifiable information, which is covered under our Privacy Policy, any material You transmit or post to Our Site and Database shall be considered non confidential and non-proprietary. We shall have no obligations with respect to such material. We shall be free to pass this information to third parties.
In posting material to the Database, You are deemed to warrant that it is original and that You have full right and consent to provide it to Us. Any material You post on Our Site and Database is not private and by posting such material You grant Us a perpetual royalty-free non-exclusive licence to use, reproduce, modify, translate, transmit, distribute and sub-licence it, in any medium now in existence or hereinafter developed, for any purpose, including commercial uses. We accept no responsibly for safe custody of such material.
You may not post or transmit to or from Our Site (including, but not limited to, the Database and bulletin areas), any material which:
- is threatening, false, mendacious, libellous, defamatory, obscene, indecent, seditious, offensive or insulting (generally or to other users), pornographic, abusive, liable to incite racial or religious hatred, discriminatory, menacing, scandalous, inflammatory, blasphemous, in breach of confidence, in breach of privacy or which may cause annoyance, harassment or inconvenience; or
- for which You have not obtained all necessary licences and/or approvals or which violates the intellectual property or other rights of any third party; or
- which constitutes or encourages conduct that could be considered a criminal offence, could give rise to civil liability or is otherwise contrary to the law of, or infringes the rights of any third party in, the UK or any other country in the world; or
- which is technically harmful (e.g. a virus, Trojan horse or other harmful component or data); or
- which relates to any ongoing or pending trial.
You agree to indemnify Us and Our officers, employees, advertisers, partners, agents and representatives and hold them harmless from any and all claims, demands and liabilities (including legal fees) that may arise from Your submissions to Our Site and Database, provision of content, unauthorised use of material obtained through Our Site, breach of these terms and conditions or any other such acts arising from Your use of Our Site which may violate the rights of another person or party.
We reserve the right to amend or remove any material which breaches these terms and conditions. We also reserve the right to review, edit, move or delete any material submitted by student members, in our sole discretion and without notice. If You do see any content which You believe violates the principles set out above, please inform Us as soon as possible.
We do not endorse, support, sanction, encourage, verify or agree with the content posted by student members. This material is the view and responsibility of those individual authors and does not necessarily represent Our view. We accept no responsibility for any offence caused by such materials.
We shall fully co-operate with any law enforcement authorities or court order requesting or directing Us to disclose the identity or locate anyone posting any material in breach of these terms and conditions.
Privacy
Our Privacy Policy explains how We will use the information which You have provided to Us.
By ticking the box marked "I have read and agree to the terms and conditions" when submitting an application for Membership, You agree to the information that You provide under the paragraph headed "Registration" above being displayed on Our Database.
We reserve the right to remove Your details at any time and without notice. Your details shall remain on Our Database for a period of 3 calendar months from the date on which it is posted, after which You will receive an email asking You to confirm whether or not You are still seeking a training contract and still wish for Your information to appear on the Database.
Price and payment
Membership is annual and a fee of £10.00 is payable every year that You wish to be a student member. We shall send You a reminder one month before Your current Membership expires to enquire whether You wish to renew. Please note that even if You join part way through a Membership year, which runs from 1 October to 30 September, You will still be liable to pay the full £10.00 fee. There shall be no pro-rated discount for joining part way through a Membership year.
These prices are exclusive of VAT.
The prices are correct at the time of publication of these terms and conditions, however, they are subject to change from time to time.
You may pay for Your Membership online by credit and debit card. We regret that We cannot accept cheques, credit notes or cash as payment for Membership applications made online through Our payment processor. Credit and debit card payments made online through Our Site are processed by a secure payment collection service ("Payment Processor"). Our online payment processing is undertaken by Secure Trading®, a leading independent internet payment service provider. When You pay for Your Membership online, We will take Your name, address and other details and then You will be transferred to the Payment Processor's website to enter Your credit or debit card details and finalise the payment process. The Payment Processor will need to know certain information about You in order to process payment for Your application and You hereby consent to the transfer by Us to the Payment Processor of such information.
Please note that We cannot guarantee the security of data which You send Us by email. Accordingly please do not send Us payment information using email. Unless We are fraudulent or negligent, We will not be liable to You for any losses caused as a result of unauthorised access to the personal and transactional information that You provide Us when applying for Membership.
Rights in materials
All copyright and other rights (including all intellectual property rights) in materials provided to You as a benefit of Your Membership (including, without limitation, brochures, articles or case studies) are Our property or that of our licensors. You are entitled to use such materials only for Your own personal use. You are not entitled to copy such materials (except as permitted by law) nor are You entitled to use or authorise others to use such materials for any commercial purposes.
Our liability
The content of Our Site and other Membership benefits are provided in the interests of furthering Your knowledge and skills and is provided in good faith. However, the content should not be taken as specific advice and You should ensure that You obtain appropriate professional advice wherever necessary. You are advised to verify the accuracy of Our Site's content before relying upon it. Some of Our content, including but not limited to information, products, services or graphics, is supplied to us by independent authors. Anybody who contributes to Our Site is asked to sign a statement verifying that their work is original, accurate and complete, and does not contain anything likely to cause offence, although We cannot verify this. Our Site is provided "as is" and is for general information purposes only. Whilst We have taken every care in the preparation of the content of Our Site We cannot guarantee that it is complete, accurate, reliable or error-free. We disclaim all warranties and representations (ie statements which provide assurance that information is true) as to the accuracy of Our Site, or the information, content, products or services included on it. We will not be responsible for any errors or omissions or for any technical difficulties You may experience with Our Site.
We will only be liable to You for losses which are caused by Our own negligence and which are foreseeable by both You and Us as a consequence of us breaching these terms and conditions.
Any reliance that You place on the information contained on Our Site is strictly at Your own risk. We shall not be liable for any commercial or business losses (including, but not limited to, loss of revenue, profits, contracts, anticipated savings, wasted expenditure, data or goodwill and business interruption) nor any losses that were not caused by any breach of these terms and conditions by Us.
Our liability to You under these terms and conditions will not exceed the total price paid by You to Us in respect of Membership fees for the duration of Your Membership, or £50, whichever is the higher.
Nothing in these Terms excludes Our liability to You for:
- death or personal injury caused by negligence;
- fraud;
- misrepresentation as to a fundamental matter (eg price, length of contract or service description); or
- any liability which it would be illegal for us to exclude, or attempt to.
To the maximum extent permitted by law, We provide you with Membership on the basis that We exclude all representations, warranties, conditions and other terms (including, without limitation, the conditions implied by law of fitness for purpose and the use of reasonable care and skill) which but for this notice might have effect in relation to Membership.
Written communications
Applicable laws require that some of the information or communications We send to You should be in writing. When using Our Site, You accept that communication with Us will be mainly electronic. We will contact You by e-mail or provide You with information by posting notices on Our Site. For contractual purposes, You agree to this electronic means of communication and You acknowledge that all contracts, notices, information and other communications that We provide to You electronically comply with any legal requirement that such communications be in writing. This condition does not affect Your statutory rights.
Notices
All notices given by You to Us must be given to Liverpool Law Society at 2nd Floor, The Cotton Exchange, Edmund Street, Liverpool L2 9LQ or subscriptions@liverpoollawsociety.org.uk. We may give notice to You at either the e-mail or postal address You provide to Us when applying for Membership, or in any of the ways specified in the written communications paragraph above. Notice will be deemed received and properly served 24 hours after an e-mail is sent, or three days after the date of posting of any letter. In proving the service of any notice, it will be sufficient to prove, in the case of a letter, that such letter was properly addressed, stamped and placed in the post and, in the case of an e-mail, that such e-mail was sent to the specified e-mail address of the addressee.
Transfer of rights and obligations
These terms and conditions are binding on You and Us and on Our respective successors and assigns.
You may not transfer, assign, charge or otherwise dispose of any of Your rights or obligations arising under these terms and conditions, without Our prior written consent. We may transfer, assign, charge, sub-contract or otherwise dispose of any of Our rights or obligations arising under these terms and conditions, at any time.
Events outside Our control
We will not be liable or responsible for any failure to perform, or delay in performance of, any of Our obligations under these terms and conditions that is caused by events outside Our reasonable control ("Force Majeure Event") which includes any act, event, non-happening, omission or accident beyond Our reasonable control and includes in particular (without limitation): strikes, lock-outs or other industrial action; civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war; fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster; impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport; impossibility of the use of public or private telecommunications networks; and/or the acts, decrees, legislation, regulations or restrictions of any government.
Our performance under these terms and conditions is deemed to be suspended for the period that the Force Majeure Event continues, and We will have an extension of time for performance for the duration of that period. We will use Our reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which Our obligations under these terms and conditions may be performed despite the Force Majeure Event.
Waiver
If We fail, at any time, to insist upon strict performance of any of Your obligations under any of these terms and conditions, or if We fail to exercise any of the rights or remedies to which We are entitled under these terms and conditions, this shall not constitute a waiver of such rights or remedies and shall not relieve You from compliance with such obligations. A waiver by Us of any default shall not constitute a waiver of any subsequent default.
Severability
If any of these terms and conditions are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms and conditions, conditions and provisions which will continue to be valid to the fullest extent permitted by law.
Entire agreement
These terms and conditions and any document expressly referred to in them represent the entire agreement between us in relation to the subject matter of Membership and supersede any prior agreement, understanding or arrangement between us, whether oral or in writing.
We each acknowledge that, neither of us has relied on any representation, undertaking or promise given by the other or be implied from anything said or written in negotiations between us prior to Membership being provided to You except as expressly stated in these terms and conditions.
Neither of us shall have any remedy in respect of any untrue statement made by the other, whether orally or in writing, prior to the date of Your acceptance as a member (unless such untrue statement was made fraudulently) and the other party's only remedy shall be for breach of contract as provided in these terms and conditions.
Our right to vary these terms and conditions
We have the right to revise and amend these terms and conditions from time to time to reflect changes in technology, changes in payment methods, changes in relevant laws and regulatory requirements and changes in Our system's capabilities.
You will be subject to the policies and terms and conditions in force at the time that You apply for Membership, unless any change to those policies or these terms and conditions is required to be made by law or governmental authority or is made in accordance with the paragraph above (in which case it will apply to Memberships).
Law and jurisdiction
These terms and conditions are governed by the law of England and Wales. Any dispute arising from, or related to, such terms and conditions shall be subject to the non-exclusive jurisdiction of the courts of England and Wales.
