Description

This online course will provide a step-by-step guide to allotting and issuing shares under the Companies Act 2006 (“CA 2006”).

It is appropriate for anyone involved in advising UK companies on issuing shares/preparing the documentation for share issues for private limited companies.

This course will not cover law surrounding alphabet shares – please see the separate online course for this – All About Alphabet Shares.

This online course will cover the following:

  • The step-by-step procedure for allotting shares (including for companies that pre-date the CA 2006) (including an analysis of the legal considerations and consequences for failure to follow procedure)
  • Filings following a share issue
  • Considerations by the board/board minutes
  • Q&A

Speaker Biographies

Jackie qualified and practised as a corporate solicitor in a large City firm before moving to the North West where she worked at two commercial firms including Hammonds where she specialised in advising on corporate acquisitions.

Jackie has been teaching for over 18 years, is a Fellow of the Higher Education Academy, has a Post Graduate Certificate in Professional Education and is a Certified Management and Business Educator.

Jackie has also co-authored a book: ‘Advising Effectively on the Employment Aspects of a Corporate Transaction – A Practical Guide for Junior Lawyers’, Law Brief Publishing, 2021.
